Jan 14, Stockholders Meeting 1954

The Forty-first stockholders meeting was called to order by the president with a Roll Call of (26) stockholders present.

Previous Stockholders Directors Minutes were approved as read.

Managers & Finance report were accepted as read.

Motion made and seconded to overhaul Tips Engine. Carried.

Motion made and seconded to leave it up to the board of directors for any improvements or any machinery that is nessary [sic]. Carried.

Motion made and seconded to elect all directors and Finance committee by acclamation. Carried.

Thanks were extended to the Burton Fire Department for their use of the fire Dept. house. Carried.

Motion made & seconded to adjourn with paying the Dividend checks. Carried.

Meeting was called to order by the president with all directors present.

Motion made and seconded to hire manager for $1.50 per hr for repair labor, ½ of 1% commission on seed handling, 50 cts per bale extra when more than 24 bales are ginned. Carried.

Manager to hire nessary [sic] labor as cheap as possible and repair roof & build meal room bigger at mill house.

Directors Meeting April 25, 1954


Meeting was called to order by the president all directors present except Otto Wegner.

Motion made and seconded to except [sic] offer made by Tipps Engine Works of Austin, Texas to exchange old Tipps Engine & $2500 for a new Tipps Engine and was authorized that the manager and several of the directors go to Austin Sunday April 25th to tranact [sic] nessary [sic] business on the above deal. Carried.

Directors meeting was called to order by the president with all directors present.

Previous minutes were accepted as read.

Motion made and seconded that manager write Tipps Engine Works for contract and to look after knock in engine. Carried.

Motion made and seconded to buy small Hammer Mill to grind burrs at gin or look for a different place to put burrs where they can be burned. Carried.

Motion made and seconded to take fire Insurance out at Harvey Boehnemann. Carried.

Motion made and seconded to put up sign for a Discount 20 cts per bale for each customer that unloads his own bale of cotton. Carried.

No further business the meeting adjourned.

Previous minutes were accepted as read.

Managers report was read and a motion made and seconded to pay a dividend of 6% carried.

Meeting place for annual Stockholders meeting was discussion and was moved to be held at the American Legion hall.

After Discussing Improvements that the should be made at the Mill House such as installing a feed mixer and repair or rebuild mill house same should be recommend to the stockholders.

No further business a Motion was made and seconded to adjourn. Carried.

Directors Meeting was called to order by the President with all Directors present.

After Discussing Mill Problems with a representative of San Antonio it was decided to have or discuss same with another firm to make estimates. Carried.

Motion made and seconded to give a table to the American Legion. Carried.

Motion made and seconded to accept manager for $1.50 per hour for repair labor, ½ of 1% commission on seed handling, 50 cts per bale extra when more than 24 bales are ginned. Carried.

Motion made and seconded to reduce Howard Matthies rent from $10.00 to $7.50. Carried.

Directors Meeting was called to order by the president with all directors present.

Motion made and seconded to take old building down and rebuilt same. Carried.

Motion made and seconded to buy 1 cyclone 4000 lb Dry Mixer and and Sweet Feed Mixer from Mr. Freemann, Represenative from San Antonio Implement Co. Carried. $2099.80

Motion made an seconded to buy 24 in. W. W. Hammer Mill with nessary [sic] equipment for $1776.55 less 2% for cash on Dry Mixer, Sweet Feed Mixer and Hammer Mill and plus one year Guarantee on all above equipment. Carried.

It was discussed to buy one 4000 lb Duplex Dry mixer.

No further business the meeting adjourned.


Directors Meeting March 22, 1955


Directors Meeting called to order by the president with R. A. Fuchs, Gus Draeger, E. T. Neutzler, Willie Kieke, Ed Eberhardt, L. F. Knipstein and Manager H. C. Wehring present.

Motion made and seconded to build Mill House ten ft longer which make a total floor space of 80 x 50 ft. Carried.

As various matters were discussed and no further business the meeting adjourned.

May 23, 1955 Directors Meeting
Directors meeting was called to order by the president with all directors and manager present.

Motion made and seconded to charge for grinding as follows:

Corn Meal ½ cts per lb.

Ear Corn – 1/8 – 30 cts, ¼ -- 25 cts per cwt.

Shell Corn ¼ -- 20 cts 1/8 – 25 cts per cwt.

Roughness – 25 cts per cwt. Cobs – 30 cwt

Mixing – 10 cts per cwt. $2.10 for molasses per cwt. and 20 cts for Shelling Corn. Carried.

Motion made and seconded to buy fan for destroying pink bollwarm. Carried.

Motion made and seconded to buy a 20 ft culvert and install same at driveway at Mill. Carried. No further business the meeting adjourned.

Directors meeting called to order with following present, R. A. Fuchs, E. T. Neutzler, Willie Kieke, Otto Wegner, Gus Draeger, Ed Eberhardt and Mgr. H C. Wehring.

Previous minutes accepted as read.

Motion made and second to charge for ginning same as last year which is as follows, Bagging & Ties $3.40, Hand Pick cotton $1.35 cwt for Lint. Bollies $2.05 per cwt and for Sterlizer [sic] 75 cts per bale and give each customer 10 cts for cash, 10 cts for unloading own bale. Carried.

Motion made and seconded to give manager authority to borrow up to $3000 from the Burton State Bank to buy Cotton seed. Carried.

Motion made and seconded to leave it up to the board of Directors of leasing a strip of land to Aug Muehlbrad for grazing. Carried.

Motion made and seconded to leave it up to the board of directors, the disposal of trash at the gin. Carried.

Motion made and seconded to Value our gin stock at $75.00 per share and raise our surplus fund from 10000 to 11000. Carried.

Motion made and seconded to leave it to the board of directors any nessary [sic] repairs at Mill and gin. Carried.

Motion made and seconded to Re-elect board of Directors and finance committee by acclamation. Carried. No further business.

Jan 17, 1957 Stockholders Meeting


The forty-fourth Stockholders Meeting was called to order by the president with the Roll Call indicating that (21) Stockholders were present.

Previous Stockholders & Directors minutes were approved as read.

Managers and Finance Report was accept [sic] as read.

Motion made and seconded to Leave it up to the Board of directors, the Farmers Warehouse problems. Carried.

It was agreed to leave it up to the board of Directors any nessary [sic] repairs that are needed at the Gin & Mill. Carried.

Motion made and seconded to donate $5.00 to the Community Hall. Carried.

Motion made and seconded to leave it up to Board of Directors whether to hire a hand for unloading seed cotton at Gin. Carried.

Election of officers R. A. Fuchs was nominated and re-elected president.

As L. F. Knipstein resigned as V. president B. C. Gatewood was nominated and elected as Vice president.

E. T. Neutzler was nominated as secretary and re-elected.

Gus Draeger was nominated and re-elected as treasurer.

Otton Wegner, Ed Eberhardt and Willie Kieke were re-elected as directors by acclamation. Carried.

As Ed Felder resigned to serve on the Finance committee, Theo Felder was nominated and elected with Ed. J. Fuchs and John Ludwig.

Motion was made and seconded that a rising vote of thanks was given to L. F. Knipstein and Ed J. Felder for their services. Carried.

Motion made and seconded to meet at Community Hall for our stockholders Meeting for year 1958. Carried.

Motion made and seconded to adjourn with paying the dividend checks. Carried.

Directors Meeting was called to order by the president with all directors present except Gus Draeger.

Motion made and seconded to Hire manager for the year 1957 as follows:

$1.50 per hour for repair labor ½ of 1% commission on seeding handling, 50 cts per bale extra when more than 24 B/c are ginned, and one week vacation with pay. Carried.

It was agreed to give Herbert Kunkel a week vacation with pay.

Stockholders Meeting May 4, 1957.

Bought Special Stockholders Meeting was called to order by the president, with fifteen (15) Stockholders present.

Whereas: Burton Farmers Warehouse Co; has conferred with the Burton Farmers Gin Ass’n Inc. in negociating [sic] the sale of the Warehouse and all real estate property for the sum of Three Thousand Five Hundred Dollars ($3500.00) and

Whereas: said price is agreeable to both the Burton Farmers Warehouse Co; and the Burton Farmers Gin Ass’n,

Therefore a Motion was made by H. C. Wehring duly seconded by F. L. Prenzler that Burton Farmers Gin Ass’n Inc accept said offer and a part cash payment of Fifteen Hundred ($1500.00) by check May 4th, 1957, and the balance of $2000.00 when said transfer of property deed and a clear title is accepted by the Burton Farmers Gin Assn’n Inc. Carried.

Motion made by J. E. Felder duly seconded by Herman Schulz that the board of Directors select an appropriate name and make application to amend our present charter to comply with the laws governing Ginning, Milling and Warehousing. Carried.
